⚖️ LICENSE TERMS

This software and associated documentation (the "Software") is licensed, not sold. By purchasing and accessing this Software, you ("Licensee") agree to be bound by the terms of this License Agreement.

✅ GRANTED RIGHTS

Subject to the terms below, Licensee is granted a non-exclusive, non-transferable, single-use commercial license to:

  1. Use the Software for one (1) commercial project or business
  2. Modify the source code for your own use
  3. Deploy the Software to production environments
  4. Create derivative works for your licensed project
  5. Receive updates for the lifetime of your license

❌ PROHIBITED ACTIVITIES

The following activities are STRICTLY PROHIBITED and constitute breach of contract:

1. Redistribution

  • Uploading source code to public repositories (GitHub, GitLab, Bitbucket, etc.)
  • Sharing code via file-sharing services (Dropbox, Google Drive, WeTransfer, etc.)
  • Posting code snippets to forums, blogs, or public platforms
  • Including code in open-source projects

2. Resale & Sublicensing

  • Reselling the Software as a boilerplate, template, or starter kit
  • Sublicensing to third parties
  • Offering as part of a service or SaaS platform builder
  • Creating competing products using this codebase

3. Unauthorized Sharing

  • Providing access to non-licensed individuals or teams
  • Sharing your GitHub repository access credentials
  • Creating public forks of the private repository
  • Contributing code to public projects without written permission

4. Circumvention

  • Removing or modifying copyright notices
  • Disabling or bypassing license key validation
  • Reverse engineering for the purpose of redistribution

📋 PERMITTED USE CASES

✅ What You CAN Do:

  • Build and launch your own SaaS product
  • Deploy to unlimited servers for your project
  • Hire developers to work on your licensed project
  • Sell your end-product to customers (not the code itself)
  • Use in client projects (one license per client project)

Example (Allowed):

You build "ProjectHub SaaS" using this boilerplate, deploy it to Vercel, and sell subscriptions to customers. ✅

Example (NOT Allowed):

You post the boilerplate code to a public GitHub repo or sell it on Gumroad as "NextJS SaaS Template." ❌

🛡️ COPYRIGHT & ENFORCEMENT

Ownership

All source code, documentation, and associated materials remain the exclusive property of AI Startup SEO. This license grants usage rights only, not ownership.

Monitoring

We actively monitor:

  • Public GitHub repositories
  • Code sharing platforms (Pastebin, Gist, etc.)
  • Forums (Reddit, Stack Overflow, dev communities)
  • Piracy sites

DMCA Protection

This Software is protected under:

  • U.S. Copyright Law (17 U.S.C. § 101 et seq.)
  • Digital Millennium Copyright Act (DMCA)
  • Berne Convention (international copyright protection)

Unauthorized distribution will result in DMCA takedown notices filed with:

  • GitHub, GitLab, Bitbucket (repository hosts)
  • Google (search results & drive)
  • Web hosting providers
  • Domain registrars

Typical Response Time: 24-48 hours for content removal.

⚠️ VIOLATION CONSEQUENCES

Breach of this License Agreement will result in immediate and severe consequences:

1. License Revocation

  • Immediate termination of your license (no refund)
  • Loss of GitHub repository access
  • Revocation of all future updates

2. DMCA Takedown

  • Filed with hosting provider within 24 hours of discovery
  • Public repositories removed within 48 hours
  • Strike against violator's GitHub/hosting account

3. Financial Liability

You may be liable for:

  • Statutory damages up to $150,000 per infringement (17 U.S.C. § 504)
  • Actual damages including lost profits
  • Legal fees and court costs
  • Injunctive relief (court order to stop distribution)

4. Permanent Ban

  • Blacklist from all AI Startup SEO products
  • No future purchases allowed
  • Public identification of violation (if severe)

5. Legal Action

We reserve the right to pursue:

  • Civil litigation for breach of contract
  • Copyright infringement claims
  • Damages for reputational harm

Each license includes a unique identifier:

This key is embedded in your codebase and serves as:

  • Proof of legitimate purchase
  • Identifier for violation tracking
  • Access token for updates and support

If we discover leaked code, the license key will reveal the source.

🔄 REFUND POLICY

No Refunds After GitHub Access

Once you have:

  • Received your license key
  • Been granted GitHub repository access
  • Cloned or downloaded the code

The license is non-refundable.

Why?

  • Digital goods cannot be "returned"
  • You now have permanent access to the code
  • Refund requests after access = attempted theft
